I have had a look at the source when both are used and there isn't much difference between the two.
The main difference between the two is that in the table tag the standard rectangle adds the width of the table, in the tr tag the layer adds a valign property of the tablecell, and in the img tag the layer adds the height and width of the blank gif.
Besides these three differences there seems to be no difference at all except maybe in certain settings. But if you aren't going to use any of these settings (like shading options for the standard rectangle tool or the background propreties for the layer tool) why use one and not the other?

The layer tool is very useful because it is a container object so you can draw objects inside it; by moving the layer all internal objects will be moved; by hiding/showing the layer all internal objects will be hided/showed.
The layer tool is very useful for creating dynamical menu or when you create relative pages
